Terms of Service

1. Acceptance of Terms
By accessing or using the website at ortuni.com (the “Site”) and any services provided by Ortuni LLC (“Ortuni,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use our Site or services.
2. Description of Services
Ortuni provides AI-powered software development services, including but not limited to prototyping, MVP development, production platform engineering, and AI integration consulting. The specific scope, deliverables, timeline, and fees for any project engagement will be defined in a separate Statement of Work (“SOW”) or project agreement between Ortuni and the client.
3. Client Portal and Accounts
To access certain features of our Site, including the client portal, you may be required to verify your email address and create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
4. Intellectual Property
Our Property
The Site, including its design, text, graphics, logos, icons, and software, is the property of Ortuni LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.
Client Work Product
Unless otherwise specified in a separate project agreement or SOW, ownership of deliverables created during a project engagement will be transferred to the client upon full payment. Ortuni retains the right to use general knowledge, skills, techniques, and frameworks (including reusable code libraries and tools) developed during the engagement.
5. Project Engagements
All project engagements are governed by the specific terms outlined in the applicable SOW or project agreement. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail with respect to that engagement. Key terms typically addressed in project agreements include:
- Scope of work and deliverables
- Payment schedule and fees
- Timeline and milestones
- Change request procedures
- Acceptance criteria
- Warranty and support terms
6. Payment Terms
Payment terms for project engagements will be specified in the applicable SOW or project agreement. Unless otherwise agreed, invoices are due within 14 days of issuance. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of a project engagement. This obligation survives the termination of any agreement between the parties. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Ortuni LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Site or our services, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms or any project engagement shall not exceed the total fees paid by you to Ortuni in the twelve (12) months preceding the event giving rise to the claim.
9. Warranties and Disclaimers
The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
Project deliverables will be warranted as specified in the applicable project agreement. Unless otherwise stated, Ortuni provides a 30-day warranty period following delivery during which we will correct defects at no additional charge.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ortuni LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms or your use of our Site or services.
11. Termination
We may terminate or suspend your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Site after such changes constitutes acceptance of the new Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
